These Terms of Service ("Terms") govern your access to and use of the website located at lawfirm-directory.com (the "Site"), operated by LawFirm Directory ("we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Site.

1. Acceptance of Terms

By accessing, browsing, or using the Site in any way, including searching for attorneys, creating an account, claiming a lawyer profile, submitting a review, or purchasing a subscription, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of a law firm, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

LawFirm Directory is an online platform that provides a searchable directory of attorneys across the United States. Our services include:

• A searchable directory of lawyer profiles organized by practice area, location, and other criteria
• Lawyer profile pages featuring professional information, credentials, office locations, and client reviews
• Contact forms enabling prospective clients to reach out to listed attorneys
• Legal educational resources, guides, and informational content
• Interactive tools including legal cost estimators, lawyer matching, and case type quizzes
• A blog with legal news, insights, and articles
• Lawyer humor and entertainment content
• Premium listing tiers and marketing services for attorneys and law firms

We reserve the right to modify, suspend, or discontinue any aspect of the Site or services at any time without prior notice.

3. User Accounts

Certain features of the Site require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security and confidentiality of your login credentials and not share your account with others
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access to or use of your account

4. Lawyer Listings

Lawyers and law firms listed on the Site are subject to the following terms:

Accuracy of Information

Listed attorneys are solely responsible for the accuracy and completeness of their profile information, including but not limited to their name, firm name, practice areas, office locations, bar admissions, credentials, and biographical details. Misrepresentation of qualifications, credentials, or disciplinary history is strictly prohibited and may result in immediate removal from the directory.

Claiming a Profile

We may create basic profiles for attorneys using publicly available information. If your profile exists on our platform, you may claim it by verifying your identity through our verification process (email or phone confirmation). Once claimed, you gain full control over your profile content, subject to these Terms. We reserve the right to verify your identity and professional credentials before approving a claim.

Featured and Premium Listings

Featured placement, priority positioning in search results, and premium badges are available through paid subscription tiers. Featured or premium status indicates that a lawyer has purchased enhanced visibility and does not constitute an endorsement, recommendation, or quality assessment by LawFirm Directory. All lawyers, regardless of listing tier, must meet our minimum profile standards.

5. Reviews and User Content

Review Guidelines

Users may submit reviews of listed attorneys. All reviews must be based on genuine personal experiences with the attorney being reviewed. By submitting a review, you represent and warrant that:

• Your review reflects an honest and accurate account of your experience
• You are not affiliated with the attorney being reviewed (unless disclosed) and are not a competitor submitting a negative review
• Your review does not contain false statements, defamatory content, confidential case information, or personal attacks
• You have not been compensated or incentivized by any party to submit the review

Content Moderation

We reserve the right to review, moderate, edit, or remove any user-submitted content, including reviews, joke submissions, and contact form messages, at our sole discretion. Content may be removed if it violates these Terms, contains offensive or inappropriate material, appears to be spam or fraudulent, or if we receive a valid legal request for removal.

Prohibition on Fake Reviews

The submission of fake, fabricated, or misleading reviews is strictly prohibited. This includes reviews submitted by the attorney themselves (or their staff) posing as clients, reviews submitted by competitors to damage another attorney's reputation, and reviews generated by automated systems or AI. Violation of this policy may result in account suspension, listing removal, and potential legal action.

6. Subscription Plans and Payment

LawFirm Directory offers several subscription tiers for attorney listings:

• Free: Basic profile with limited fields and standard directory placement
• Basic ($29/month): Enhanced profile with photos, priority placement, and review management
• Premium ($79/month): Featured badge, top search results placement, analytics dashboard, video embed, and unlimited photos
• Elite ($149/month): Homepage featured spot, sponsored practice area placement, dedicated support, and lead tracking

All paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel your subscription at any time through your dashboard or by contacting support. Cancellation takes effect at the end of the current billing period, and you will retain access to premium features until that date.

We reserve the right to change our pricing at any time. If we change pricing for an existing subscription, we will provide at least 30 days' notice before the new price takes effect. Refunds are generally not provided for partial billing periods, except where required by applicable law.

7. Intellectual Property

The Site and its original content, features, and functionality (including but not limited to text, graphics, images, logos, icons, software, and the overall design and arrangement of the Site) are owned by LawFirm Directory and are protected by copyright, trademark, and other intellectual property laws.

By submitting content to the Site (including lawyer profiles, reviews, jokes, and other user-generated content), you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, modify, and distribute that content in connection with the operation of the Site and our services. You retain ownership of your original content but acknowledge that it will be publicly displayed on the platform.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent, except for personal, non-commercial use such as printing a lawyer's profile for your own reference.

8. Disclaimer of Warranties

The Site and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The Site will be available at all times without interruption or error
• The information on the Site, including lawyer profiles, credentials, and reviews, is accurate, complete, or current
• Any attorney listed on the Site is qualified, competent, or suitable for your specific legal matter
• The results of any legal cost estimator, AI matching tool, or other interactive feature will be accurate or reliable
• The Site is free from viruses, malware, or other harmful components

9. Limitation of Liability

To the fullest extent permitted by applicable law, LawFirm Directory, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

• Your use of or inability to use the Site or services
• Any conduct or content of any third party on the Site, including lawyers, reviewers, and other users
• Any information obtained from the Site, including lawyer profiles, reviews, legal resources, and AI-generated content
• Unauthorized access, use, or alteration of your data or transmissions
• Any disputes between users and listed attorneys

In no event shall our total liability to you for all claims arising out of or relating to the Site or these Terms exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

10. Attorney Advertising Disclaimer

Listings on LawFirm Directory may constitute attorney advertising in certain jurisdictions. The information contained in attorney profiles is provided by the listed attorneys or compiled from publicly available sources and has not been independently verified by LawFirm Directory unless otherwise noted.

The hiring of a lawyer is an important decision that should not be based solely upon advertisements or directory listings. No representation is made that the quality of legal services to be performed is greater than the quality of legal services performed by other lawyers. Past results do not guarantee a similar outcome in future cases.

Listed attorneys are responsible for ensuring that their profiles comply with the advertising rules and ethical obligations of their respective state bar associations. LawFirm Directory does not endorse, recommend, or guarantee any attorney listed on the Site.

11. Indemnification

You agree to defend, indemnify, and hold harmless LawFirm Directory, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Site, including any content you submit, post, or transmit through the Site
• Your violation of any rights of another party, including any attorney listed on the Site
• Your violation of any applicable law, rule, or regulation
• Any claim that your content caused damage to a third party

12. Termination

We may terminate or suspend your access to the Site and services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

• Your right to use the Site will immediately cease
• Any active paid subscription will be canceled, and no refund will be provided for the remaining period unless required by law
• Your lawyer profile may be reverted to an unclaimed state or removed at our discretion
• We may retain certain information as required by law or for legitimate business purposes

You may terminate your account at any time by contacting us at support@lawfirm-directory.com. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Any dispute arising under these Terms that cannot be resolved through informal negotiation shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters relating to intellectual property rights or data security.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and provide notice through a prominent posting on the Site or via email to registered users. Your continued use of the Site after any changes to these Terms constitutes acceptance of the revised Terms.

For significant changes that may affect your rights or obligations, we will provide at least 30 days' notice before the new terms take effect. If you do not agree to the revised Terms, you must discontinue your use of the Site and, if applicable, cancel your subscription.
